Terms of Service

These Terms of Service ("Terms") are an agreement between you and United Dream Homes LLC, a Texas limited liability company headquartered in Flower Mound, Texas ("we," "us," or "our"), which operates the NuralNest AI service. By creating an account or using the NuralNest AI application, website, or related services (collectively, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of legal majority where you reside) to create a NuralNest AI account. By agreeing to these Terms, you represent that you meet this requirement and that you have the authority to enter into a binding contract.

2. Your account

• You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
• You must provide accurate, current information when you sign up and keep it up to date.
• You may invite family or household members to share your vault on plans that allow multiple seats. The account owner remains responsible for the household's compliance with these Terms.
• Notify us immediately at security@nuralnest.com if you suspect any unauthorized use.

3. Your content

Documents, photos, audio, video, chats, and any other content you upload or generate while using the Service (your "Content") belong to you. You retain all rights to your Content.

You grant us a limited, non-exclusive license to host, process, transform (for example: extract text from images, transcribe audio, generate summaries and search embeddings), and display your Content solely as needed to operate the Service for you. We do not use your Content to train AI models and we do not share it for any purpose other than providing the Service to you, as described in the Privacy Policy.

4. Acceptable use

You agree not to use the Service to:

• Upload content that infringes someone else's intellectual property, privacy, or other rights.
• Upload illegal content or content that violates applicable law.
• Harass, threaten, impersonate, or harm any person.
• Attempt to bypass, probe, or interfere with security or rate-limit controls.
• Reverse-engineer, scrape, or extract source data from the Service except where permitted by law.
• Resell or commercially distribute access to the Service without our written permission.

We may suspend or terminate accounts that violate these rules. When safety or legal compliance allows, we will give you notice and a chance to address the issue first.

5. Subscription, pricing, and billing

• NuralNest AI offers a free tier and paid plans. Pricing and plan details are listed in the app or on our website.
• Paid plans are billed in advance on a recurring basis (monthly or annually) until you cancel.
• You can cancel at any time from within the app. Cancellation takes effect at the end of the current billing period.
• Refunds are handled on a case-by-case basis. Where required by law (for example for some EU customers), statutory refund rights apply.
• If we change pricing for an existing plan, we will give at least 30 days' notice before the change takes effect for your account.

6. AI features and limitations

NuralNest AI uses artificial intelligence (large language models and other ML systems) to help you understand and organize your documents. AI output:

• Can be inaccurate, incomplete, or out of date.
• Is not a substitute for professional advice (legal, medical, financial, tax, etc.).
• Should be verified before you rely on it for decisions that matter.

You are responsible for how you use AI-generated content. Do not treat NuralNest AI's answers as authoritative without checking the underlying source documents.

7. Service availability and changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features at any time. When we make changes that materially affect paying customers, we will provide reasonable advance notice.

8. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or that AI output will be accurate.

9. Limitation of liability

To the maximum extent permitted by law, NuralNest AI and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim related to the Service is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars (USD $100).

10. Indemnification

You agree to indemnify and hold harmless United Dream Homes LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from (a) your use of the Service, (b) your Content, or (c) your violation of these Terms or applicable law.

11. Termination

You may terminate your account at any time. We may terminate or suspend your account if you violate these Terms, fail to pay fees due, or if required by law. On termination, your right to use the Service ends; sections of these Terms that by their nature should survive (intellectual property, disclaimers, limitations of liability, indemnification, governing law) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Denton County, Texas, and you and we consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the app or by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
